ETG Ambassador Agreement (Contract)

EvyTradingGroup

1. Parties

This Ambassador Agreement (the “Agreement”) is entered into by and between EvyTradingGroup (the “Company”) and (the “Ambassador”). The Company and the Ambassador are each a “Party” and collectively the “Parties.”

2. Recitals

A. The Company operates education programs and related services under the ETS/ETG brands.
B. The Ambassador wishes to promote the Company’s programs and refer prospective students/mentees under the terms of this Agreement.
C. The Parties intend this Agreement to set out binding terms and conditions for such promotion and referral activities.

The foregoing recitals are incorporated as substantive terms.





3. Definitions

For purposes of this Agreement, the following capitalized terms have the meaning set forth below:

3.1 Affiliate: An individual who promotes any EvyTradingGroup products and services via a Company‑issued promo link and earns a fixed 10% commission on qualifying sales. Affiliates do not access Ambassador commission tiers or EP requirements unless separately enrolled as an Ambassador.

3.2 Ambassador: An individual who purchases the Ambassador Starter Pack (€279), which grants access to the Ambassadorship and initializes the required 200 EvyPoints ("EPs") balance. Ambassadors earn commissions for referred students according to Schedule A (tiered structure).

3.3 Ambassador/Mentor: An Ambassador who may also—on a flexible, non‑binding, independent‑contractor basis—perform mentoring activities for the Company. For mentees the Ambassador/Mentor personally mentors (as documented by the Company), the commission rate is 40% on payments from those mentees, notwithstanding the tiered referral schedule in Schedule A. For recruits not personally mentored by the Ambassador/Mentor, the tiered schedule in Schedule A applies.

3.4 Mentor: An individual appointed or recommended by a Company Supervisor based on criteria set by the Company. Mentor status cannot be purchased. Mentors receive 40% on payments from mentees they personally mentor (as documented by the Company). Mentors remain independent contractors.

3.5 Downline / Recruits: Students or ambassadors introduced directly or indirectly by the Ambassador (or their recruits). "Indirect" refers to the downline created when recruits make their own referrals.

3.6 EvyPoints ("EPs"): Internal points earned by Ambassadors through direct and indirect (downline) sales attributable to the Ambassador, as tracked by the Company. A minimum of 200 EPs at the time of payout is required for monthly payouts under this Agreement.




4. Appointment; Scope

4.1 The Company appoints Ambassador as a non‑exclusive promoter/referrer under this Agreement.
4.2 Ambassador will market the Company’s offerings ethically and in alignment with brand guidelines, without making financial guarantees or unlawful claims.
4.3 Nothing herein grants Ambassador authority to bind the Company.

5. Compensation

5.1 General. Commission is earned on qualifying payments received by the Company from eligible referrals attributable to Ambassador, per the applicable role and structure set out in Schedule A and Section 6.
5.2 Payment Timing. Commissions are calculated monthly and paid within the first five (5) business days of the following month, subject to Section 7 (EP requirement).
5.3 Payment Method. Payments are made via [PayPal / Wise / Bank Transfer].
5.4 Installments. Commission applies to both one‑time payments and installment/recurring billing from referred mentees.
5.5 Cap. Ambassadors are capped at six (6) direct referrals unless they develop at least one of their students into a qualified ETS Mentor or ETG Ambassador, in which case the cap is lifted.

6. Leadership Override & Mentor Development

6.1 If one of Ambassador’s recruits qualifies as a Mentor (or Ambassador/Mentor) under ETS MSP, a Leadership Override applies: Ambassador receives a 20% override on the Mentor’s earned commissions generated from that Mentor’s referred/mentored students, as calculated by the Company.
6.2 The Mentor’s own commission is 40% on their personally mentored students (unless otherwise agreed in writing).
6.3 This structure is intended to incentivize development and support of recruits into leadership roles.



7. EP Requirement; Accrual & Non‑Forfeiture

7.1 EP Threshold. Ambassador must hold at least 200 EPs at the time of the monthly payout to receive that month’s payout.
7.2 Accrual. If Ambassador does not meet the 200 EP requirement at the payout date, the payout is deferred, but the underlying commissions do not expire or forfeit. Deferred commissions remain recorded in the Company’s system and visible in Ambassador’s dashboard.
7.3 Right to Payment. Ambassador retains the right to receive deferred commissions once the EP requirement is subsequently met and standard payout timing resumes.
7.4 Tracking. The Company will display Ambassador’s current EP balance and accrued commissions in the Ambassador dashboard.

8. Reporting; Records; Audit

8.1 The Company will provide access to a dashboard reflecting referrals, EPs, and accrued commissions.
8.2 The Company’s calculation and tracking systems will be determinative in the ordinary course, absent manifest error.
8.3 Upon reasonable notice, the Company may review Ambassador’s promotional records solely to confirm compliance with this Agreement.

9. Conduct; Compliance; Brand & IP

9.1 Ethical Marketing. Ambassador shall market lawfully and ethically; no financial guarantees, misrepresentations, or misleading claims.
9.2 Brand Use. Any branding, logos, or media provided by the Company may be used only in accordance with Company guidelines and may not be altered. No ownership or license beyond the limited, revocable right of use is granted.
9.3 Compliance. Ambassador shall comply with all applicable laws and regulations, including consumer protection, unfair competition, advertising standards, and anti‑spam rules.
9.4 No Investment Advice. Ambassador shall not present Company content as financial or investment advice.


10. Independent Contractor; Taxes

10.1 Ambassador acts as an independent contractor; no employment relationship is created.
10.2 Ambassador is solely responsible for taxes, social contributions, and compliance arising from commissions and other earnings.

11. Confidentiality

11.1 Ambassador shall keep confidential any non‑public information received from the Company, including internal processes, scripts, strategies, and proprietary information, and shall not disclose such information to third parties.
11.2 This obligation survives termination.

12. Term; Termination; Post‑Termination

12.1 Term. This Agreement begins on the Effective Date for an initial term of twelve (12) months and renews automatically for successive one‑year periods unless terminated.
12.2 Termination for Convenience. Either Party may terminate with fourteen (14) days’ written notice.
12.3 Immediate Termination for Cause. The Company may terminate immediately in the event of misconduct, misrepresentation, violation of ethics or community rules, or material breach.
12.4 Effect of Termination. Termination stops new earnings but does not affect accrued commissions, which remain recorded and non‑forfeiting under Section 7. Payment of accrued commissions remains subject to the EP requirement unless waived by the Company in writing.

13. Data Protection

13.1 To the extent Ambassador processes any personal data in connection with this Agreement, Ambassador shall comply with applicable data protection laws.
13.2 Ambassador shall promptly notify the Company of any suspected breach relating to such data.


14. Limitation of Liability; Indemnity

14.1 Limitation. To the maximum extent permitted by law, neither Party shall be liable for indirect, incidental, special, consequential, or punitive damages.
14.2 Cap. The Company’s aggregate liability under this Agreement shall not exceed the total commissions paid to Ambassador in the six (6) months preceding the event giving rise to the claim.
14.3 Indemnity. Ambassador will indemnify and hold the Company harmless from third‑party claims arising from Ambassador’s unlawful or unethical promotional activities or breach of this Agreement.

15. Governing Law; Dispute Resolution

15.1 Governing Law. This Agreement shall be governed by the laws of the International Jurisdiction.
15.2 Mediation First. Any dispute shall be submitted to mediation prior to legal proceedings.

16. Miscellaneous

16.1 Entire Agreement. This Agreement (including Schedule A) constitutes the entire agreement between the Parties and supersedes prior understandings.
16.2 Amendments. Any amendment must be in writing and signed by both Parties.
16.3 Assignment. Ambassador may not assign or transfer this Agreement without the Company’s prior written consent.
16.4 Severability. If any provision is unenforceable, the remainder remains in effect.
16.5 No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
16.6 Counterparts; E‑Signature. This Agreement may be executed in counterparts and by electronic signature, each deemed an original.

Schedule A — Commission Structure & Roles

A1. Affiliate (10% Fixed).

  • Role: Promotes any EvyTradingGroup products/services via Company promo link.

  • Commission: 10% fixed on qualifying sales.

  • Notes: No EP requirement; no access to Ambassador tiered structure unless enrolled as Ambassador.

A2. Ambassador (Tiered Referrals).

  • Starter Pack: €279, grants access to Ambassadorship and initializes 200 EPs.

  • Commission on direct referrals (students/traders personally referred):
    1st recruit: 40%
    2nd recruit: 30%
    3rd recruit: 20%
    4th recruit: 10%
    5th recruit: 0%
    6th recruit: 0%

  • Cap: 6 direct referrals unless at least one recruit becomes a qualified ETS Mentor or ETG Ambassador (then cap is lifted).

  • Applies to one‑time and installment/recurring payments.

A3. Ambassador/Mentor (Hybrid).

  • Status: Ambassador who also performs mentoring on a flexible, non‑binding basis.

  • Commission: 40% on payments from personally mentored mentees (documented by the Company), regardless of the tier in A2. For non‑mentored recruits, A2 tier applies.

  • Independent contractor status remains.

A4. Mentor (Appointed).

  • Status: Appointed/recommended by a Company Supervisor per Company criteria (status cannot be purchased).

  • Commission: 40% on payments from mentees personally mentored (documented by the Company).

  • Independent contractor status remains.

A5. Leadership Override.

  • When an Ambassador’s recruit achieves Mentor (or Ambassador/Mentor) status, the Ambassador receives a 20% override on that Mentor’s earned commissions from their referred/mentored students, as calculated by the Company.

  • Mentor retains their own 40% unless otherwise agreed in writing.

A6. EP Requirement; Accrual.

  • 200 EPs required at payout time for monthly payouts.

  • EPs are earned through direct and indirect (downline) sales.

  • If the EP threshold is not met, payout is deferred; commissions do not expire or forfeit and remain shown in the dashboard.

  • Ambassador retains the right to receive deferred commissions once the EP requirement is met.
